According to marketwatch:

ST. LOUIS (CBS.MW) -- Bank of America Capital Management Inc., the fourth-
largest Hewlett-Packard shareholder, said on Wednesday it plans to vote the
shares it controls against H-P's proposed acquisition of Compaq Computer.

"We did our analysis, looked at it, and decided the deal won't be
beneficial to H-P shareholders," said Joe Fazzino, a BofA spokesman. "It
puts too much of H-P's business in a commodity business, that being PCs."
