I'll take a crack at that.

1.  Interex board directors appointed by the board (and not just to fill
a
    vacancy).

2.  AND they don't even have to be HP related in their occupation.

The rationale I got was that these outsiders have expertise not
available
in the membership.  Bull.  That what consultants are for.  Interex has
hired consultants before and will probably continue to do so.
