At my previous employer, I had the same problem with purchasing the proper
number of software licences. I presented to them a letter stating that I
clearly expressed my concerns and kept a copy for myself just in case I ever
had to face the same situation. I even went as far as to have the CFO sign
it.

If he is the owner or president, not much you can do except try to keep
your fingers clean or leave the company.  (I'd be worried about him
trying to shift blame incase he gets caught).  If he is just a manager
in a larger company, check and see if you have an ethics office or
somebody up the chain that you can discretely talk to....
