I can think of 22 Billion positive reasons off the top of my head.  ;-)
This has always been my concern about the merger.  How does one keep your
competitive edge when you sink A LOT of your assets into the cost of the
merger.  Not just the purchase price mind you, but the costs of culture
change, resycnronization, etc.  I just cannot see how it will not be a
significant distraction and any momentum either company has at the moment
(no pun) will be lost and Dell and IBM will eat their lunch.  If they paid
less for just the server portion of Compaq and spin off or sell the PC
division, I would feel better about it.  But as is I just don't think HP
can get a good return on that kind of money.
